Terms of service
Last updated: 31 October 2026
These terms are the agreement between you and Philipp Hochmann, Vienna (“we”, details in the legal notice), for the Keeper desktop app and for Keeper Cloud. How we handle personal data is in the privacy policy.
What Keeper is
Keeper is a notes app for macOS and Linux that keeps your pages as Markdown files on your computer. Keeper Cloud is an optional online service used from the app: cloud projects stored on our server and shared live with the people you invite, and Keeper AI, an AI assistant included with a monthly allowance. There is no web version of the editor.
The desktop app
The app is free of charge and works without an account. Your local vaults are folders on your computer that we never receive; keeping backups of them is up to you. If you connect the app to an AI provider with your own key, that provider’s terms apply to that use, and the costs it charges are yours.
Your Keeper Cloud account
- You must be at least 16 years old.
- Use an email address that is yours, and keep your sign-in secure. An account is for one person.
- You are responsible for what happens through your account and the devices signed in to it. You can sign a device out in the app; tell us at once if you think someone else has access.
- If you use Keeper Cloud for an organisation, for example in a Team workspace, you confirm that you may act for it.
Plans, prices and payment
Keeper Cloud has paid plans for single users, families, teams and larger organisations. People you invite to view a project don’t need a plan. Paid plans are not on sale yet; until then we set up accounts by hand and nothing is charged.
Once they are on sale, these rules apply:
- The price, the billing period and what is included are shown before you buy. Prices for consumers include VAT.
- Payment will be handled by Paddle (Paddle.com Market Ltd) as merchant of record: Paddle sells you the subscription, takes the payment and issues the invoice, and Paddle’s own buyer terms apply to the purchase.
- A subscription renews at the end of each billing period until you cancel it. You can cancel at any time; it then ends at the end of the period you have paid for, and you keep access until then. Unused parts of a period are not refunded unless the law requires it.
- We may offer free trials. What a trial includes and when it ends is shown when you start it; a trial doesn’t turn into a paid plan unless you subscribe.
- We will announce price changes at least 30 days before they apply to you. If you don’t agree, you can cancel before then.
Right of withdrawal for consumers
If you are a consumer in the EU, you can withdraw from a paid subscription within 14 days of buying it, without giving reasons. Because you buy from Paddle, withdrawal follows Paddle’s buyer terms, which you see at checkout; you can tell Paddle or us.
Your content
What you write and upload stays yours. You give us the right to store, copy, transmit and display your content only as far as needed to run Keeper Cloud for you: keeping it on our server, syncing it to the devices of the project’s members, and sending it to the AI provider when you or a member use Keeper AI on it. This right ends when the content is deleted.
A project’s members see and can, depending on their role, change its content. Its owner decides who is a member. People who have been in a project may still have copies, for example from an export.
Only upload content you are allowed to use and to share with the people in the project.
Acceptable use
Don’t use Keeper Cloud to:
- store or share illegal content, or content that infringes other people’s rights;
- spread malware, or attack, probe or overload the service;
- get around limits, quotas or access controls, or share device tokens or accounts;
- resell access to Keeper Cloud or Keeper AI, or use Keeper AI as a general API for other software;
- use Keeper AI for anything the model provider’s usage policies forbid.
Keeper AI
Keeper AI answers with a language model from an outside provider. Its answers and changes can be wrong, incomplete or out of date. Check them before you rely on them; you are responsible for how you use them.
Your plan includes a monthly AI allowance, measured in credits by the model cost of each request. When it is used up, Keeper AI pauses until the first day of the next month (UTC); AI providers you connected with your own key keep working. Unused monthly credits don’t carry over. If we offer extra credit packs, their price and how long they last are shown when you buy them.
Fair use and limits
Keeper Cloud has technical limits, such as a size limit per file. If someone’s use goes far beyond what the plans are meant for and harms the service for others, we may limit it. Where we can, we tell you first.
Availability and changes to the service
We work to keep Keeper Cloud running and your content safe, but we can’t promise uninterrupted availability. We may need maintenance breaks, and we may change or remove features. We tell you ahead of changes that take away something important you pay for, and you can then cancel. Keep an export of projects that matter to you.
Suspension and termination
You can stop using Keeper Cloud and ask us to delete your account at any time by writing to us.
If you seriously or repeatedly break these terms, we may suspend your account or end the contract. We tell you why, and, unless it is urgent or the law prevents it, give you a chance to respond first. A suspended account stays signed in but can’t use Keeper Cloud.
We can end free accounts, and paid subscriptions at the end of a billing period, with 30 days’ notice. If we shut down Keeper Cloud, we tell you at least 30 days ahead and refund what you paid for the time after it ends.
Export before deletion
You can export any cloud project from the app as a folder of Markdown files at any time. Before we delete an account or a project because the contract ends, we give you at least 30 days to export, unless we have to act sooner because of a serious breach or a legal obligation. Once deleted, content can’t be restored.
Liability
We are fully liable for damage we cause intentionally or through gross negligence, for injury to life, body or health, and where mandatory law, such as product liability law, provides for it. For slight negligence we are liable only if we breach an essential obligation of the contract, and then only for the damage that was typical and foreseeable when the contract was made. For the free app and free accounts we are not liable for slight negligence, as far as the law allows.
Nothing in these terms limits the rights consumers have under mandatory Austrian or EU law, including warranty rights and the right of withdrawal.
Changes to these terms
We may update these terms, for example for new features or legal changes. We tell you about important changes by email or in the app at least 30 days before they take effect. If you don’t agree, you can cancel before then. Changes to the essentials of a paid contract need your consent.
Law and courts
Austrian law applies, without its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, you keep the protection of the mandatory law of the country where you live. Courts in Vienna have jurisdiction, unless consumer law gives you the right to sue or be sued at your place of residence.
